The vehicle combines traditional equity ownership with selectively structured positions, including “first-loss capital” arrangements, to express high-conviction views with asymmetric risk-return profiles

The Sophon Capital Solutions SPV is affiliated with our main line of business - Sophon Capital Research - and is used in limited circumstances to express the highest-conviction conclusions emerging from our in-depth, on-the-ground industry research. When our work reaches sufficient clarity to support capital deployment, we may invest alongside a small group of aligned, long-term partners.

The inclusion of public equity positions in our portfolio is governed by a formal, structured internal process that prioritizes several factors, including i.) depth of industry understanding/expertise we have achieved, ii.) business quality and attractiveness of investment opportunity (codified through our proprietary Sophon Score system), and iii.) and clarity/presence of variant perception in the investment thesis. Valuation serves as a risk and asymmetry constraint that guides our structuring and sizing of the position, not a primary driver or binary, gating factor in whether we initiate a position or not.

In addition to initiating direct equity investments alongside clients of Sophon Capital Research, the Sophon Capital Solutions SPV structures bespoke structured equity solutions for a range of institutional investors (family offices, long-only & hedge funds) that are pursuing fundamental, industry-aware strategies in public markets. These structures, including first-loss capital, are designed to help clients scale high-conviction positions while shaping downside exposure.

The Sophon Capital Solutions SPV has the objective of compounding capital at a low-double digit IRR or higher, with a blended underwritten risk:reward profile of 1:5+ and robust risk control measures. Our intention is to create a unique and unparalleled investment product for eligible limited partners (small foundations, UHNW/FOs) that is superior to traditional long-only or long-short public equity.
